Terms and Conditions of Sale

 

Agreement 

 

1.This agreement is a legally binding agreement. This agreement is all inclusive, in its entirety, between Torus Engineering Solutions Ltd and each customer and shall provide the terms and conditions of sale on all purchases from Torus Engineering Solutions Ltd. In placing an order with Torus Engineering Solutions Ltd, you are hereby agreeing unconditionally to the terms and conditions within this agreement. For the purposes of your order with Torus Engineering Solutions Ltd, this binding agreement replaces and supersedes any previous arrangement, understanding or agreement, whether made orally or in writing. 

 

 

Trademarks – Copyrights – Logos 

 

1. All images, logos & text styles, to include copyrighted material, are property of their respective owners. When we receive imagery or instructions from you that includes registered trademarks, copyrighted material, registered trademark logos, Slogans and Text, you certify and warrant to us that you have the legal right or have obtained a legal and binding license agreement to use and/or reproduce such trademarked or copyrighted material. We will not duplicate, for any reason, any images, logos, slogans or test styles to include copyrighted material, without the expressed written permission of the intellectual property owner. 

 

2. Any Imagery used herein is for representative purposes only, and Torus Engineering Solutions Ltd claims no ownership of any said trademarked or copyrighted material, nor does it imply, upon order placement and purchase from Torus Engineering Solutions Ltd, a transfer of rights to you for the reproduction and/or use of any said trademarked or copyrighted material. 

 

3. Furthermore, you also warrant that your use of said trademarked or copyrighted material does not violate any person or entity’s intellectual property rights by using said trademarked or copyrighted material. You shall indemnify Torus Engineering Solutions Ltd against all claims, liability and costs (including legal fees) made by any individual, entity or company. 

 

  

3D Printed Part/s,  Samples, Colours , Part Scale and Hole Sizes 

1. Production of multiple parts (5 or more, dependant on size) are subject to a sample being approved.Production of large printed parts, where printed in sections, dovetail jointed or similar and then epoxy bonded together are also subject to an sample being approved.

2. The sample will show the finished 3D part which has been created from the CAD file/s from the customer. It is important that you review the sample for accuracy, overall size (scale), hole sizes , fit , form and function & colour. 

3. It is the responsibility of each customer prior to approving the sample for actual production to make sure they are happy to proceed.

4. If a sample is to be sent out it will be listed in the quotation.

5. Torus Engineering Solutions Ltd will agree the colours to be used in the 3D printing process with the customer before final manufacture.

6. Once approval has been given, final manufacture of the parts can be undertaken.

7. Please note with regards to the amount of infill requested in parts.

  • 0% is generally equivalent to no infill and 100% is equivalent to a solid print.

    Infill density can also effect a print’s strength, bouyancy, and material used.

  • A higher infill density makes for a heavier, more solid print. In contrast, a lower infill density would provide a simpler, more lightweight result. Common infill densities are between 20% and 25%. This offers a nice balance between durability and material consumption.

  • If structure isn’t a concern but cost is, the best infill range is between 10% and 15%.

  • If structure is a concern, and filament usage isn’t (cost), the best range is somewhere between 30% and 50%.

  • Lastly, if you’re going for strength, as with a functional part, feel free to go right up to 100%.

     

Order Placement 

1. Orders can be placed by email to info@torus-engineering-solutions.co.uk. If an order is placed over the telephone, it must be confirmed by a confirmation email. 

2. A confirmation email will contain all the details of the order including pricing, lead times and shipping.

3. It is the customer’s responsibility to review this confirmation email for accuracy and reply with an approval to proceed to production with the order ONLY if the customer verifies the details are correct and agrees to these Terms and Conditions of Sale. No order will be placed into production without an affirmative reply to a confirmation email. 

 

Order Cancellation and Changes 

1. Once an order has been confirmed, and therefore placed, all prices quoted are applicable.

2. Cancellations on orders once confirmed for manufacture are dependent on where your model is up to in the printing process. If we have started to print the model or we have started repairing your mesh then cancellation may incur a charge. If we have not carried out any processing then cancellation may be possible, please email info@torus-engineering-solutions.co.uk as soon as possible if you need to cancel and we will let you know whether it will be possible.

3.  Any amendments that are wanted to be incorporated in the 3D print will be re quoted and charged accordingly.

 

Payment

1. The price stated in the quotation shall be Inclusive of VAT.

2. The price stated shall be fixed and agreed for the duration of the contract. 

3. Payment terms of 15 days after delivery of 3D products.

 

Product Manufacturing Timetable 

1. Torus Engineering Solutions Ltd will aim for your printed parts to be manufactured within the lead times specified within the quotation.

2. Lead time quoted commences from customer email order conformation / sample approval date.

3.  Any printed parts with complex designs and thin sections may take longer to manufacture, package and ship due to the nature of them. Torus Engineering Solutions will inform the customer if any delays were to arise.

4. Business days are 24/7 as printers can run continuously if needed.

 

Shipping , Ownership and Risk

1. The Shipping cost will be calculated depending upon weight of printed parts & location. For quotation or fixed firm pricing the shipping costs maybe included into the print price.

2. Torus Engineering Solutions Ltd reserves the right to deliver the manufactured parts or to use other couriers at its sole discretion.

3. Posting our products to any country or territory outside of the United Kingdom will incur an additional charge. 

4. Title to the goods shall pass to the Company when delivery has been made.

5. Risk shall pass to the Company on delivery of the goods or on receipt by the nominated party complete and in good condition.

6. Goods delivered will be accompanied by a delivery note,  listing such goods in sufficient detail to enable inspection and checking to take place after delivery.

7. Delivery note to be signed for records.

 

Limitation of Liabilities 

Except as expressly provided below, under no circumstances will either party have any liability to the other party for, and each party hereby expressly waives, any indirect, incidental, consequential, special, or punitive damages of any description, even if advised of the possibility of such damages, whether arising out of warranty or contract, negligence or other tort, or otherwise, including, without limitation, foreseeable business losses, loss of profits, and reliance damages.

Except as expressly provided below, you agree that under no circumstances will Torus Engineering Solutions Ltd’s liability relating to its sale of printed products to you for any cause exceed the purchase price paid by you for the particular products involved. Nothing in this agreement will limit or exclude Torus Engineering Solutions Ltd’s liability for i) death or personal injury caused by its negligence; ii) fraud or fraudulent misrepresentation; or iii) any other matter in respect of which liability cannot lawfully be limited or excluded. 

 

Refunds – Returns – Exchanges 

1. Torus Engineering Solutions Ltd does not accept returns, nor provide refunds or exchanges for its printed products. The 3D printed process isn't a fast process and it can be lengthy however it is considerably cheaper than conventional tooling methods.

2. We do stand behind our products to be free of defects as the parts are a direct print from STL models.

3. Torus Engineering Solutions Ltd warrants its products by offering to re print or replace any part that has any 'printing defects' within thirty (30) days of the delivery date. Printing defects are manufacturing mistakes. These do not include 3D CAD model changes to the part/s post this agreement. These changes will be subject to either impact costs or re-quotation.

 

Disputes 

1. In the unlikely event that any dispute or claim arises out of or in connection with any purchase from Torus Engineering Solutions Ltd or any other agreement or document forming part of the order (including but not limited to Torus Engineering Solutions Ltd’s invoice), it is agreed that such dispute or claim is to be governed by and construed in accordance with the law of England and Wales and you irrevocably agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement. 

2. If applicable : If any dispute pertains to the illegal use of trademarks, copyrights, designs or logos, you agree to indemnify Torus Engineering Solutions Ltd against any loss (including legal fees) and to defend the claim at your sole expense and hold Torus Engineering Solutions Ltd free and harmless of any and all liability at your sole expense in any litigation, arbitration, hearing or any other legal proceeding. 

3. Torus Engineering Solutions Ltd requires written notice of claims of defects in parts by email to info@torus-engineering-solutions.co.uk. Upon receipt, Torus Engineering Solutions Ltd will determine a course of action commensurate with our policy. If it is determined that a manufacturing error has occurred, your products will be re-manufactured at no cost to you. 

4. Should you distribute any printed products purchased from Torus Engineering Solutions Ltd, you will cooperate fully with Torus Engineering Solutions Ltd in dealing with any customer complaint concerning the products and will take such action to resolve such complaints as deemed necessary or appropriate by you or as may be otherwise reasonably requested by Torus Engineering Solutions Ltd.

5. You agree to report to Torus Engineering Solutions Ltd any complaint regarding a product of which you become aware of within five (5) business days of receiving the complaint or two (2) calendar days if a death or serious injury is involved. You agree to assist Torus Engineering Solutions Ltd to facilitate the resolution of complaints. For purposes of this agreement, a complaint can be the occurrence of any of the following: (i) receipt of any product(s), quality claims, medical claims or complaints or other written claims or complaints; or (ii) receipt of any written communication from any applicable regulatory agency pertaining to a product.
